1. INTRODUCTION AND SCOPE

These Terms and Conditions (hereinafter referred to as the "Agreement") constitute a legally binding contract between FinOne Industries India Private Limited, a company incorporated under the Companies Act, 2013 (hereinafter referred to as the "Company"), and any entity engaging our services (hereinafter referred to as the "Customer"). As a leading automotive Original Equipment Manufacturer (OEM), the Company specializes in the design, development, and manufacture of comprehensive automotive systems and components.

2. MANUFACTURING CAPABILITIES

2.1 Interior Systems Manufacturing

The Company possesses extensive capabilities in the manufacture of complete interior systems. This includes the design, development, and production of comprehensive cockpit modules and assemblies. Our manufacturing scope encompasses complete door panel systems, including trim components and integrated functionalities. We manufacture full seating systems with all related components, ensuring compliance with safety and comfort requirements. The Company also produces overhead systems, center consoles, and various interior trim elements, all manufactured to exact customer specifications and quality requirements.

2.2 Exterior Systems Production

Our exterior systems manufacturing capabilities include comprehensive bumper system production, from design through final assembly. The Company manufactures complete grille assemblies with integrated functionality and aesthetic requirements. Our production facilities are equipped to produce various body panels meeting strict dimensional and quality specifications. The manufacturing scope extends to side mirrors, exterior trim components, and aerodynamic elements, all produced with precision tooling and advanced manufacturing processes.

2.3 Under-Body Component Manufacturing

The Company maintains specialized facilities for the production of critical under-body components. This includes the manufacture of chassis components requiring high structural integrity and precise specifications. Our production capabilities extend to suspension modules, incorporating advanced materials and manufacturing techniques. The Company produces brake system components under strictly controlled conditions to ensure safety and reliability. Manufacturing processes are established for fuel system components, exhaust system elements, and various drivetrain components, all produced under rigorous quality control protocols.

2.4 Electrical and Electronic Systems

Our manufacturing capabilities include complete wiring harness production with advanced quality control and testing procedures. The Company produces various control modules incorporating current electronic manufacturing standards and testing protocols. Production facilities are equipped for the manufacture of sensor systems with precise calibration capabilities. We maintain specialized production lines for switch assemblies and junction boxes, ensuring consistent quality and reliability.

3. QUALITY MANAGEMENT SYSTEM

3.1 Quality Standards and Certifications

The Company maintains a comprehensive quality management system that governs all aspects of production and supply. This system is certified to IATF 16949 standards, specifically designed for automotive manufacturing processes. Our quality management procedures incorporate all elements of ISO 9001:2015, ensuring systematic approach to quality control and improvement. Environmental management systems are maintained in accordance with ISO 14001 standards, ensuring sustainable manufacturing practices.

The Company implements customer-specific quality requirements through dedicated quality planning and control processes. Regular audits are conducted to verify compliance with all applicable standards and requirements. Quality system documentation is maintained and updated to reflect current manufacturing processes and control methods. All quality procedures are subject to regular review and improvement based on performance metrics and customer feedback.

3.2 Production Quality Control

Each manufacturing process incorporates specific quality control points designed to ensure product conformity. Incoming materials undergo thorough inspection according to established procedures and specifications. In-process quality checks are conducted at predetermined stages of production to verify conformance to requirements. Final inspection procedures ensure that all products meet specified requirements before release for shipping.

The Company maintains complete traceability systems for all manufactured products and components. Quality records are maintained for all inspection and testing activities throughout the manufacturing process. Non-conforming products are identified and segregated according to established procedures. Corrective and preventive action systems are maintained to address any quality issues that may arise.

4. SUPPLY CHAIN MANAGEMENT AND LOGISTICS

4.1 Supply Chain Operations

The Company maintains a comprehensive supply chain management system designed to ensure consistent and reliable supply of components and materials. This system encompasses the entire supply chain from raw material procurement through final delivery to customers. Material requirements are planned and managed through an integrated system that considers production schedules, inventory levels, and customer demand patterns.

Supplier relationships are managed through a structured system that includes regular performance evaluation and development programs. The Company maintains approved supplier lists based on demonstrated capability and performance history. Regular supplier audits are conducted to verify continued compliance with quality and delivery requirements. Supplier quality issues are addressed through formal corrective action processes with appropriate follow-up to verify effectiveness.

4.2 Inventory Management

The Company implements modern inventory management practices to optimize stock levels while ensuring production continuity. Raw materials, work in progress, and finished goods are managed through an integrated system that provides real-time inventory visibility. Storage facilities are maintained under controlled conditions appropriate for the materials being stored. Stock rotation is managed according to First-In-First-Out (FIFO) principles unless otherwise specified.

Special storage requirements for sensitive materials or components are maintained according to manufacturer specifications and industry standards. Regular inventory audits are conducted to verify accuracy of stock records and identify any discrepancies. Minimum and maximum stock levels are established based on usage patterns and lead time requirements.

4.3 Logistics and Distribution

The Company operates a comprehensive logistics system designed to ensure timely and efficient delivery of products to customers. Transportation arrangements are made considering product requirements, delivery schedules, and cost efficiency. Packaging specifications are maintained according to customer requirements and product protection needs. All shipments are properly documented and tracked from dispatch through delivery.

Custom clearance procedures are managed by experienced personnel to ensure compliance with all regulatory requirements. International shipping arrangements are made through approved carriers with appropriate insurance coverage. Delivery schedules are monitored and updated regularly to reflect current status and any potential delays.

5. PRODUCTION PLANNING AND CONTROL

5.1 Production Planning

The Company implements comprehensive production planning processes to ensure efficient utilization of resources and timely delivery of products. Production schedules are developed based on customer orders and forecast requirements, considering available capacity and resource constraints. Material requirements are planned in coordination with production schedules to ensure availability when needed.

Long-term capacity planning is conducted to identify and address any potential constraints or bottlenecks. Production plans are regularly reviewed and updated to reflect changes in customer requirements or operating conditions. Resource allocation is managed to optimize efficiency while maintaining quality standards.

5.2 Process Control

Manufacturing processes are controlled through documented procedures and specifications that ensure consistent product quality. Process parameters are established based on product requirements and validated through appropriate testing and verification. Operator instructions are maintained at all workstations, providing clear guidance for process execution and quality requirements.

Process monitoring systems are implemented to track critical parameters and identify any deviations from established standards. Statistical process control methods are applied where appropriate to maintain process stability and capability. Process changes are managed through formal change control procedures that include appropriate validation and customer approval where required.

5.3 Performance Monitoring

The Company maintains comprehensive systems for monitoring and measuring production performance. Key performance indicators are established and tracked to evaluate efficiency, quality, and delivery performance. Regular performance reviews are conducted to identify improvement opportunities and address any issues.

Production metrics are analyzed to identify trends and patterns that may affect product quality or delivery performance. Performance data is used to drive continuous improvement activities throughout the manufacturing operation. Regular reports are generated to provide visibility of performance metrics to management and customers as required.

6. PRODUCT DEVELOPMENT AND ENGINEERING

6.1 Design and Development

The Company maintains capable engineering teams for product development and continuous improvement activities. New product development follows structured processes that ensure all customer requirements are properly understood and implemented. Design reviews are conducted at appropriate stages to verify compliance with requirements and identify potential issues.

Engineering changes are managed through formal procedures that ensure proper evaluation and implementation. Prototype development and testing are conducted according to established procedures and customer requirements. Design validation is performed through appropriate testing and analysis methods.

7. QUALITY ASSURANCE AND TESTING

7.1 Quality Control Infrastructure

The Company maintains state-of-the-art quality control facilities equipped with advanced measurement and testing equipment. Each manufacturing facility incorporates dedicated quality control laboratories staffed by qualified personnel. The quality control infrastructure includes dimensional measurement equipment, material testing facilities, and functional testing capabilities appropriate for the products being manufactured.

Environmental chambers are maintained for conducting environmental testing when required by product specifications. Test equipment is calibrated according to established schedules and procedures traceable to national standards. Measurement system analysis is conducted periodically to ensure continued accuracy and reliability of test equipment.

7.2 Testing Procedures

Comprehensive testing procedures are established for all products based on customer requirements and industry standards. Initial sample testing is conducted according to Production Part Approval Process (PPAP) requirements. Regular production testing is performed according to established control plans and customer specifications. Functional testing is conducted using automated test equipment where applicable to ensure consistency and reliability.

Material testing is performed according to established standards and specifications. Test results are documented and maintained as part of the product quality records. Non-conforming products identified during testing are segregated and processed according to established procedures. Test procedures are regularly reviewed and updated to reflect current requirements and technological capabilities.

7.3 Documentation and Reporting

The Company maintains comprehensive documentation of all quality-related activities and test results. Quality records are maintained in both physical and electronic formats with appropriate backup and security measures. Test reports are generated for all required testing activities and maintained as part of the product history file.

Quality performance metrics are tracked and reported on a regular basis to management and customers as required. Trend analysis is performed on quality data to identify potential issues and improvement opportunities. Documentation is maintained according to established retention schedules and regulatory requirements.

8. TOOLING AND EQUIPMENT MANAGEMENT

8.1 Tooling Standards

The Company maintains strict standards for the design, manufacture, and maintenance of production tooling. Tool design is conducted considering product requirements, production volumes, and maintenance requirements. Tool manufacturing is performed by qualified suppliers according to Company specifications and standards. Regular tool maintenance is conducted according to established schedules and procedures.

Tool life is monitored through regular inspection and measurement of key characteristics. Replacement tools are planned and manufactured based on tool life projections and production requirements. Tool modifications are managed through formal change control procedures with appropriate validation and approval requirements.

8.2 Equipment Maintenance

Comprehensive maintenance programs are established for all production equipment and facilities. Preventive maintenance schedules are developed based on equipment manufacturer recommendations and operating experience. Maintenance activities are documented and tracked through a computerized maintenance management system.

Equipment breakdown responses are managed through established procedures to minimize production disruption. Spare parts inventory is maintained for critical equipment based on usage history and lead time requirements. Equipment modifications are controlled through formal change management procedures with appropriate validation requirements.

8.3 Calibration Management

The Company maintains a comprehensive calibration program for all measuring and test equipment. Calibration schedules are established based on equipment type, usage, and accuracy requirements. Calibration procedures are documented and performed by qualified personnel or approved external service providers.

Calibration records are maintained for all equipment including calibration history and traceability information. Out-of-calibration conditions are investigated and appropriate corrective actions implemented. Measurement system analysis is performed periodically to verify continued accuracy and reliability of measuring equipment.

9. ENVIRONMENTAL AND SAFETY MANAGEMENT

9.1 Environmental Protection

The Company implements comprehensive environmental management systems in accordance with ISO 14001 standards. Environmental aspects and impacts are identified and managed through appropriate control measures. Waste management programs are maintained to ensure proper handling and disposal of all waste materials.

Energy conservation measures are implemented throughout the manufacturing facilities. Environmental performance metrics are tracked and reported according to regulatory requirements. Regular environmental audits are conducted to verify compliance with regulations and Company standards.

10. COMPLIANCE AND REGULATORY REQUIREMENTS

10.1 Automotive Industry Standards

The Company maintains full compliance with all applicable automotive industry standards and regulations. Our manufacturing processes adhere to international automotive quality standards including IATF 16949. All products are manufactured in accordance with relevant safety standards and regulations applicable in the markets where they will be used. The Company continuously monitors changes in industry standards and regulations to ensure ongoing compliance.

Regular compliance audits are conducted to verify adherence to all applicable standards and regulations. Any identified compliance issues are addressed through formal corrective action processes. The Company maintains relationships with relevant industry bodies and certification organizations to stay current with regulatory requirements and industry developments.

10.2 Export Compliance

The Company ensures compliance with all applicable export control regulations and international trade requirements. Export documentation is prepared according to destination country requirements and international trade regulations. Customs compliance is maintained through proper classification and valuation of all exported products.

International shipping arrangements comply with all applicable transportation regulations and safety requirements. The Company maintains appropriate licenses and permits required for international trade activities. Staff involved in export activities receive regular training on compliance requirements and procedures.

11. COMMERCIAL TERMS AND CONDITIONS

11.1 Pricing Structure

Product pricing is established based on comprehensive cost analysis including material costs, manufacturing costs, and overhead expenses. Pricing agreements are documented and maintained according to established procedures. Price adjustments are managed through formal procedures that consider material cost variations, exchange rate fluctuations, and other relevant factors.

Volume-based pricing considerations are documented in specific customer agreements. Additional charges for special processing, packaging, or transportation are clearly defined in quotations and agreements. Payment terms are established considering industry standards and specific customer arrangements.

11.2 Payment Terms

Standard payment terms are sixty (60) days from the date of invoice unless otherwise specified in customer agreements. Payment methods are specified in customer agreements and may include electronic funds transfer, letter of credit, or other approved methods. Late payment penalties are applied according to terms specified in customer agreements.

Credit limits are established based on customer financial evaluation and payment history. Payment scheduling for tooling and development costs is specified in project-specific agreements. Advance payments may be required for new customers or special orders.

12. WARRANTY AND LIABILITY

12.1 Product Warranty

The Company warrants that all products will be free from defects in material and workmanship under normal use and service. The standard warranty period is twelve (12) months from the date of delivery unless otherwise specified in customer agreements. Warranty coverage includes replacement or repair of defective products at the Company's discretion.

Warranty claims must be submitted in writing with appropriate documentation of the alleged defect. The Company will investigate all warranty claims and provide written response within specified timeframes. Warranty exclusions are clearly defined in customer agreements and include damage from improper use, unauthorized modifications, or normal wear and tear.

12.2 Liability Limitations

The Company's liability for warranty claims is limited to the repair or replacement of defective products. Indirect or consequential damages are excluded from warranty coverage unless specifically included in customer agreements. Product liability insurance is maintained according to industry standards and customer requirements.

Claims for transportation damage must be filed with the carrier according to established procedures. The Company maintains appropriate records of all warranty claims and corrective actions implemented.

13. INTELLECTUAL PROPERTY RIGHTS

13.1 Design Ownership

Intellectual property rights for custom designs developed by the Company remain the property of the Company unless otherwise specified in written agreements. Customer-provided designs remain the property of the customer and are used solely for the manufacture of customer products.

Design modifications developed during manufacturing are documented and ownership rights are specified in customer agreements. The Company maintains appropriate security measures to protect customer intellectual property rights.

14. CONFIDENTIALITY AND DATA PROTECTION

14.1 Confidential Information Protection

The Company implements comprehensive measures to protect all confidential information related to customer products and business relationships. Confidential information includes, but is not limited to, technical specifications, manufacturing processes, pricing information, and business strategies. All employees with access to confidential information are bound by confidentiality agreements as part of their employment terms.

Physical security measures are implemented throughout our facilities to protect confidential information. This includes controlled access to production areas, secure storage of documents and electronic data, and monitored visitor access procedures. Electronic data is protected through advanced cyber security systems, including encrypted data storage, secure network access, and regular security audits.

14.2 Information Management

All confidential documents are marked and handled according to established security protocols. Document control procedures ensure that confidential information is distributed only to authorized personnel on a need-to-know basis. Regular audits are conducted to verify compliance with information security procedures and identify any potential vulnerabilities.

The Company maintains secure archives for all confidential information with controlled access and proper backup systems. Electronic information systems are regularly backed up and maintained with appropriate disaster recovery capabilities. Disposal of confidential information is conducted through secure methods including document shredding and certified electronic data destruction.

15. CHANGE MANAGEMENT

15.1 Process Changes

Any changes to established manufacturing processes must follow formal change management procedures. This includes thorough evaluation of proposed changes, documentation of change requirements, and appropriate validation testing. Customer approval is obtained when required before implementing any process changes that may affect product quality or performance.

Change implementation is carefully planned and executed to minimize impact on production operations. All affected documentation is updated to reflect approved changes. Training is provided to relevant personnel on new or modified procedures. Post-implementation monitoring is conducted to verify effectiveness of implemented changes.

15.2 Product Changes

Product changes are managed through a structured process that ensures proper evaluation and implementation. This includes engineering evaluation, cost impact analysis, and production feasibility assessment. Sample submissions and customer approvals are obtained as required before implementing product changes.

All product changes are documented and tracked through the quality management system. Production scheduling considers appropriate timing for implementing product changes. Inventory management procedures ensure proper handling of pre-change and post-change products.

16. FORCE MAJEURE AND RISK MANAGEMENT

16.1 Force Majeure Events

The Company's obligations under this Agreement may be suspended during force majeure events beyond reasonable control. Such events include natural disasters, wars, civil unrest, government actions, strikes, major accidents, or other circumstances that prevent normal business operations. The Company will promptly notify customers of any force majeure situation affecting delivery capabilities.

During force majeure events, the Company will take reasonable measures to minimize impact on customer operations. This includes implementing business continuity plans, seeking alternative supply arrangements where possible, and maintaining regular communication with affected customers.

16.2 Risk Management

Comprehensive risk management procedures are maintained to identify and address potential business risks. This includes regular risk assessments, development of mitigation strategies, and implementation of preventive measures. Business continuity plans are maintained and regularly updated to address potential disruptions.

Insurance coverage is maintained appropriate to business operations and customer requirements. Regular reviews are conducted to ensure adequacy of insurance coverage. Emergency response procedures are established and regularly tested through mock drills and scenarios.

17. DISPUTE RESOLUTION

17.1 Resolution Process

Any disputes arising under this Agreement shall first be addressed through good faith negotiations between the parties. Initial discussions will be conducted at the operational level between relevant department managers. If resolution cannot be achieved at this level, the matter will be escalated to senior management of both parties.

If mutual agreement cannot be reached through direct negotiation, the parties may agree to engage in mediation through a mutually acceptable third party. The mediator's role will be to facilitate discussion and help parties reach a voluntary resolution.

17.2 Arbitration Procedures

In the event that disputes cannot be resolved through negotiation or mediation, the matter shall be settled through binding arbitration. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in English and the venue shall be Mumbai, India.

The arbitration panel shall consist of three arbitrators, with each party selecting one arbitrator and the two selected arbitrators choosing the third arbitrator. The decision of the arbitration panel shall be final and binding on both parties.

18. DELIVERY AND LOGISTICS TERMS

18.1 Delivery Schedules

The Company shall establish and maintain delivery schedules in accordance with customer requirements and production capabilities. Delivery schedules are developed considering production lead times, material availability, and transportation requirements. The Company maintains a systematic approach to production planning that ensures consistent adherence to agreed delivery schedules.

Regular schedule reviews are conducted with customers to address any changes in requirements or constraints. The Company implements appropriate buffer stocks where necessary to ensure consistent supply. Schedule modifications require advance notice and mutual agreement between parties. Emergency delivery requirements are handled through established expedite procedures.

18.2 Transportation Management

All products are packaged and shipped in accordance with customer specifications and industry standards. The Company ensures proper handling and protection of products during transportation through appropriate packaging methods and carrier selection. Transportation arrangements consider factors such as delivery timing, cost efficiency, and product protection requirements.

Shipment tracking information is provided to customers through established communication channels. The Company maintains relationships with qualified carriers capable of meeting delivery requirements. International shipments are managed in compliance with all applicable customs and trade regulations. Transportation insurance is maintained as appropriate for the products being shipped.

19. COST MANAGEMENT AND PRICING

19.1 Cost Control Measures

The Company implements comprehensive cost control measures throughout all operations. Regular cost analysis is conducted to identify improvement opportunities and maintain competitive pricing. Manufacturing processes are continuously evaluated for efficiency improvements and cost reduction opportunities.

Value engineering activities are conducted to optimize product designs and manufacturing methods. Material costs are managed through strategic sourcing and supplier negotiations. Productivity improvements are pursued through automation and process optimization where applicable.

19.2 Price Adjustments

Price adjustments may be implemented based on documented changes in manufacturing costs, material costs, or market conditions. Any price modifications require proper notification and documentation as specified in customer agreements. The Company maintains transparency in cost calculations and price adjustment rationale.

Annual price reviews are conducted to ensure alignment with market conditions and cost structures. Price adjustment mechanisms are clearly defined in customer agreements including timing and calculation methods. Cost reduction benefits achieved through process improvements may be shared according to agreed terms.

20. TERM AND TERMINATION

20.1 Agreement Duration

This Agreement shall remain in effect until terminated by either party according to the terms specified herein. The initial term of the Agreement shall be for a period of one year from the effective date, with automatic renewal for subsequent one-year periods unless otherwise notified.

Either party may terminate this Agreement by providing written notice ninety (90) days prior to the intended termination date. The termination notice must specify the effective date and reason for termination.

20.2 Termination Process

Upon termination of this Agreement, both parties shall cooperate to ensure orderly transition of business activities. This includes completion of work in progress, settlement of outstanding payments, and return of any customer property or confidential information.

The Company shall maintain reasonable support during the transition period to minimize disruption to customer operations. Both parties shall maintain confidentiality obligations beyond the termination date as specified in this Agreement. Any disputes arising during the termination process shall be resolved according to the dispute resolution procedures specified herein.

21. GOVERNING LAW

21.1 Applicable Laws

This Agreement shall be governed by and construed in accordance with the laws of India. Both parties agree to comply with all applicable laws, regulations, and industry standards in the performance of their obligations under this Agreement.

The parties submit to the exclusive jurisdiction of the courts in Mumbai, India for resolution of any legal matters arising under this Agreement that cannot be resolved through the specified dispute resolution procedures.

21.2 Regulatory Compliance

Both parties shall maintain compliance with all applicable regulatory requirements including environmental regulations, labor laws, and safety standards. Any changes in regulatory requirements affecting the performance of this Agreement shall be promptly communicated between parties.

The Company maintains all necessary licenses, permits, and certifications required for its operations. Regular audits are conducted to verify compliance with regulatory requirements and industry standards.

22. CONTINUOUS IMPROVEMENT AND DEVELOPMENT

22.1 Process Improvement

The Company maintains a structured continuous improvement program throughout all operations. This program encompasses systematic identification and implementation of improvement opportunities across manufacturing processes, quality systems, and operational efficiency. Regular performance reviews are conducted to evaluate the effectiveness of improvement initiatives and identify new opportunities for enhancement.

Implementation of improvement projects follows established project management methodologies to ensure effective execution and measurable results. The Company encourages employee participation in continuous improvement activities through suggestion schemes and improvement teams. Cost benefits realized through improvement initiatives are documented and may be shared with customers according to agreed terms.

22.2 Technology Development

The Company actively pursues technological advancement in manufacturing processes and quality systems. Investment in new technology is planned and implemented based on business requirements and customer needs. Technology upgrades are managed through structured project management processes to ensure successful implementation and minimal disruption to ongoing operations.

Regular assessment of emerging technologies is conducted to identify potential applications in our manufacturing operations. Implementation of new technology includes comprehensive training programs for affected personnel. The Company maintains technical expertise through ongoing training and development of key personnel.

23. BUSINESS ETHICS AND COMPLIANCE

23.1 Ethical Business Practices

The Company conducts all business activities in accordance with the highest ethical standards. This includes maintaining transparency in all business transactions, preventing conflicts of interest, and ensuring fair treatment of all business partners. All employees are required to adhere to the Company's code of conduct and ethical business practices.

Anti-corruption policies are strictly enforced throughout all business operations. The Company maintains strict prohibition against any form of bribery or improper payments. Regular training is provided to employees on ethical business practices and compliance requirements.

23.2 Social Responsibility

The Company acknowledges its responsibility toward society and the environment. This includes maintaining environmentally sustainable operations, supporting community development initiatives, and ensuring fair labor practices. Regular assessments are conducted to evaluate the social impact of our operations and identify improvement opportunities.

Environmental protection measures are implemented throughout our operations. The Company maintains compliance with all applicable environmental regulations and strives to minimize environmental impact through waste reduction and resource conservation.

24. NOTICES AND COMMUNICATION

24.1 Official Communications

All official communications under this Agreement shall be in writing and delivered to the designated representatives of each party. Notices may be delivered through registered mail, courier service, or electronic means as agreed between parties. Receipt of communications shall be confirmed through appropriate acknowledgment methods.

Each party shall maintain updated contact information for key personnel and promptly notify the other party of any changes. Regular review meetings shall be conducted to maintain effective communication and address any operational issues.

24.2 Electronic Communication

The Company maintains secure electronic communication systems for business transactions. Electronic communications related to business transactions shall be maintained with appropriate security measures and backup systems. Access to electronic communication systems is controlled through appropriate security protocols.

25. SEVERABILITY AND WAIVER

25.1 Severability

If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be severed from the Agreement, and the remaining provisions shall continue in full force and effect. The parties shall negotiate in good faith to replace any invalid or unenforceable provision with a valid and enforceable provision that most closely approximates the intent and economic effect of the invalid provision.

25.2 Waiver

No waiver of any provision of this Agreement shall be effective unless made in writing and signed by the waiving party. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision of this Agreement.

26. ENTIRE AGREEMENT

26.1 Agreement Integration

This Agreement, including all attachments and referenced documents, constitutes the entire agreement between the parties concerning the subject matter hereof. This Agreement supersedes all prior agreements, understandings, and representations, whether oral or written, between the parties relating to the subject matter of this Agreement.

26.2 Modification

Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties. Verbal agreements or understandings shall not be binding unless confirmed in writing and properly executed by both parties.
